SEC Issues Risk Alert on Alternatives Due Diligence

The Securities and Exchange Commission’s Office of Compliance Inspections and Examinations issued a risk alert on Tuesday warning advisors to be careful when recommending alternative investments like hedge funds, private equity funds or funds of private funds to clients.

The SEC examined a small group of advisors to pension plans and funds of private funds with approximately $2 trillion in investor assets to assess their strengths and weaknesses as far as due diligence.

Some firms are not reviewing their due diligence policies and procedures regarding alternatives in their annual reviews. Marketing materials might also be misleading clients on how extensive the due diligence process is, and some firms’ processes might be different from what is described in disclosures.

Furthermore, the SEC noted that while many of the advisors examined had written due diligence policies in place and those that didn’t had at least an informal process, those with written policies were more likely to follow them consistently.

Advisors who use third-party service providers should also conduct reviews of those providers to make sure they’re abiding by their agreements, the alert said.

The alert acknowledged that advisors are performing due diligence when investing client assets in alternatives. Compared with previous examinations, advisors are more frequently going directly to the managers of alternative investments for information. The alert noted that managers are often reluctant to share too much information about their investments; consequently, successfully getting information from managers was a result of negotiation between advisors and managers.

Another due diligence trend is that advisors are supplementing the data they do receive from managers with third-party research and additional quantitative analysis and risk assessment. The alert said advisors used risk aggregators and service providers like administrators, custodians and auditors to conduct due diligence on alternatives. In some cases where advisors were unfamiliar with a service provider, they would conduct due diligence on it, too.

Some advisors refused to invest with private alternative funds if they didn’t have an independent third-party administrator, according to the alert.

“Money continues to flow into alternative investments," said OCIE Director Drew Bowden. "We thought it was important to assess advisors’ due diligence processes and to promote compliance with existing legal requirements, including the duty to ensure that such investments or recommendations are consistent with client objectives.”

J.C. Penney to open at 8 p.m. on Thanksgiving

J.C. Penney is now in line with competitors trying to lure shoppers on Thanksgiving night – it's opening its doors for the first time on the holiday as it attempts to present a strong showing during the holiday season after a year of disappointing sales.

The Plano, Texas-based chain will open most of its 1,100 stores at 8 p.m. on the holiday and will be open 25 hours straight, closing at 9 p.m. the following day.

Last year Penney didn't open until 6 a.m. Friday. That made the retailer one of the laggards for the unofficial kickoff to the season. Other retailers have already been opening Thanksgiving night for the past two years. Toys R Us, Target, Sears, Walmart, and Kmart have all started opening at 8 or 9 p.m. Thanksgiving night. Macy's announced earlier this week it would open stores for the first time on Thanksgiving this year, with most stores opening at 8 p.m.

SHOPPING: Most Macy's stores will open at 8 p.m. on Thanksgiving

"Obviously, we were one of the last to open (last year)," said Tony Bartlett, Penney's executive vice president of stores. But he noted this year, "We're all in."

He promised that Penney's deals will be at least as good as two years ago and will be much better than last year, when Penney gave away buttons tied to a prize giveaway. Penney is also bringing back a tradition it ditched last year: It will give away nearly 2 million holiday snow globes starting at 4 a.m. on the Friday after the turkey feast.

Penney is hiring at least 35,000 seasonal workers for the holidays, nearly 50% more than a year ago.

The holiday plan is yet another example of how Penney is unraveling the strategies of its former CEO Ron Johnson, who was ousted in April after 17 months on the job amid a botched up plan to reinvent the retailer. Johnson was fired two months after the company announced horrific fourth-quarter results that covered the holiday shopping season. That ended a fiscal year, which finished Feb. 2, in which Penney amassed almost a billion dollars! in losses and a 25 percent drop in sales.

Penney brought back Johnson's predecessor, Mike Ullman, as CEO. He is restoring frequent sales and basic merchandise that were eliminated by Johnson, who was aiming to attract a more affluent, younger shopper.

Shares of J.C. Penney were down nearly 3% to $7.14 Friday. They have lost 83% of their value since early February 2012.

Stores are ushering the holiday season earlier every year, creeping into Thanksgiving. Last year, Target opened its doors at 9 p.m. on Thanksgiving, three hours earlier than the previous year. Wal-Mart Stores the world's largest retailer, began the early-bird specials at 8 p.m. on the holiday, two hours earlier than in 2011. A growing number of mall-based clothing stores like Gap also have opened their doors on Thanksgiving Day.

Top Oil Companies For 2014

Canada's oil industry is like Bizarro Superman.

For those of you who aren't comic book nerds or are not die-hard fans of Seinfeld,Bizarro Superman is the antithesis of Superman. His actions were always the exact opposite of what we would expect from Superman. In the world of energy, Canada is much like Bizarro Superman because of how different its oil industry is to that of the United States. Let's take a look at thisbizarrescenario and what it means for some energy companies.

The North American odd couple
Canada has consistently been a net exporter of oil since 1981. Yet despite exporting more than 3 million barrels per day to the U.S., provinces east of Ontario import more than 60% of their oil needs. There are two primary reasons this happens: (1) Canada doesn't have adequate infrastructure to economically deliver oil from the Western shale plays to the Eastern refineries, and (2) The majority of Eastern refineries are built to handle lighter, sweeter crudes that came from foreign sources.

Onshore, my favorite play is the Utica Shale, in which my top plays are Gulfport Energy Corp. (GPOR) and Rex Energy Corp. (REXX). Both companies have highly economic acreage, solid balance sheets and industry-leading production growth. I also like Rex Energy for its likely production upside. Another one of my favorite plays is the Eagle Ford Shale, in which my top plays are Penn Virginia Corp. (PVA) and Sanchez Energy Corp. (SN). Both have core acreage in the region, improving operating results and experienced management. Another favorite name of mine is Midstates Petroleum Co. Inc. (MPO). The company has assets in three solid plays and a management team with a long successful track record. Those are my favorite names at this time.

One energy player that's starting to move within range of triggering a major breakout trade is Midstates Petroleum (MPO), an independent exploration and production company focused on the application of modern drilling and completion techniques to oil-prone resources. This stock is off to a rough start in 2013, with shares off by 30%.

If you look at the chart for Midstates Petroleum, you'll notice that this stock has recently come out of a nasty downtrend that took shares from over $8 to its low of $4.26 a share. Shares of MPO have started to find some buying interest over the last month at $4.44, 4.26 and $4.48 a share, as the stock has held those levels on recent pullbacks. This could be signaling that a bottom is forming for MPO, since the downside volatility looks over. Shares of MPO are now rebounding strong off those support levels and are quickly moving within range of triggering a major breakout trade.

Traders should now look for long-biased trades in MPO if it manages to break out above some near-term overhead resistance levels at $4.82 a share and then once it takes out its 50-day moving average at $5.30 a share with high volume. Look for a sustained move or close above those levels with volume that hits near or above its three-month average action of 542,939 shares. If that breakout triggers soon, then MPO will set up to re-test or possibly take out its next major overhead resistance levels at $6 to its 200-day moving average of $6.54 a share.

Traders can look to buy MPO off any weakness to anticipate that breakout and simply use a stop that sits right below some key near-term support levels at $4.48 or $4.26 a share. One can also buy MPO off strength once it takes out those breakout levels with volume and then simply use a stop that sits a comfortable percentage from your entry point.

In the energy world, it's never much of a surprise when an oil company picks up natural gas assets or vice versa. But a coal company getting into the oil business? Now that's a rarity. This week, Natural Resources Partners (NYSE: NRP  ) did just that. The company announced that it's taking a working interest in some of Abraxas Petroleums (NASDAQ: AXAS  ) assets in the Bakken. While the $35 million purchase was not that large, it's a rare case where a coal company branches out into other natural resources.

Soar higher with this oil stock
Oil and gas driller Halcon Resources (NYSE: HK  ) is another that's being built by a team with experience in selling a company. In Halcon's case, CEO Floyd Wilson built Petrohawk Energy and sold it to BHP Billiton (NYSE: BHP  ) for $15 billion. BHP, which was looking for a way to put its massive war chest to use and was able to snap up great assets and technical know-how to develop shale gas resources.

EOG isn't the only company improving upon its methods to achieve better returns in the play.Halcon Resources (NYSE: HK  ) has experienced early positive results from updates it made to its Bakken drilling operations. Initial production results were improved in just the first two months of the project, with two wells seeing initial production rates increase by 20%, while a third well experienced an initial production rate that was 37% higher. Its success in the Bakken is the main reason behind the company's decision to spend about 38% of its capital budget on the play this year, which equates to about $475 million to drill 75 operated wells.

Competitors such as Sandridge Energy Inc. (SD), Penn Virginia Corp. (PVA), Newfield Exploration Co. (NFX) also have a negative ROE. An alternative could be Cabot Oil &Gas Corp. (BRY), but for investors searching for a higher ratio, Continental Resources Inc. (CLR) will be the best option.

The Company is a holding company. Advisors' Opinion:
  • [By Heather Ingrassia]

Gastar Agreement: On April 1st it was announced that Gastar Exploration, Ltd. (GST) had entered into a definitive agreement to acquire proven reserves and undeveloped leasehold interests in Kingfisher and Canadian counties of Oklahoma from Chesapeake Energy Corporation, repurchase Chesapeake's common shares of the Company and settle all litigation for $1 million. Although smaller in scope than most of Chesapeake's previous asset-shedding transactions, the agreement with Gastar accomplishes two things. First, is the fact the settlement resolves the legal wrangling both companies were engaged in and as a result Chesapeake walks away with $85 million of the potential $130 million they were suing for. Second, is the fact Chesapeake wipes it hands of acreage, that although producing, may not be producing as much as Chesapeake had once hoped, and therefore was worth much more to Gastar in the long run.

Advisors' Opinion:
  • [By Dan Dzombak]

Among companies with over a $1 billion market cap, today's oil and gas stocks leader was Alon USA Energy (NYSE: ALJ  ) , up 4.95% to $17.16. During the refiners' drop on Tuesday and Wednesday, Alon dropped 12.89%. Despite the comeback today, the stock is still down 8.6% from where it was before the plunge. Alon USA owns refineries in Louisiana and California, 11 asphalt terminals, as well as 300 7-11 retail locations. The company has been profiting heavily from the massive price difference between WTI and Brent crude. In November of 2012, the company IPO'd its Big Springs refinery as a master limited partnership, Alon USA Partners LP,the proceeds of which Alon used to pay down debt.

Alon USA Energy (ALJ) and Alon USA Partners (ALDW) are surging thanks to a Credit Suisse upgrade, even as refiners like Valero Energy (VLO), Phillips 66 (PSX) and Holly Frontier (HFC) stumble.

    Bloomberg News

Analyst Edward Westlake and team explain their optimism for the Alon USA pair:

ALDW: Accounting for the revised commodity forecasts (plus support from
the self-help programs that the company is pursuing), our LT EBITDA rises by c4% on average. Granted that there is the possibility that ALDW will not be able to pay out a distribution in 4Q13/1Q14, we flag that for those willing to look past the near-term headwinds, the rolling 12 month forward potential yield starting in 2Q14 is 15% (and rises to c20% by 4Q14) Certainly hard to overlook at these levels.

ALJ: Accounting for the revised commodity forecasts (plus support from selfhelp
programs), our LT EBITDA rises by c9% on average. ALJ could be worth up to c$15/sh (including the $2.25/sh expected contribution from the Bakersfield start-up Delivery of this project is key). At current levels, the stock still provides c20% upside in the scenario where Bakersfield does not proceed (or c40% if it does). We raise our rating and target price to Neutral and $14/sh.

Alon USA Energy has gained 11% to $11.34 and Alon USA Partners has risen 5.2% to $11.12, even as Valero Energy has dropped 0.5% to $40.12, Phillips 66 has dipped 0.4% to $65.09 and Holly Frontier has fallen 1.1% to $43.71.

In Pennsylvania, for instance, several hundred wells have been drilled but not completed because the takeaway capacity to get their production to market simply isn't there. Advisors' Opinion:
  • [By Eric Volkman]

The coffers of Mechel (NYSE: MTL  ) are now much fuller. The company has signed an agreement for a 40 billion ruble ($1.3 billion) loan from VTB Bank, a lender based in Mechel's home base of Russia. Of the total, roughly 25 billion ($802 million) will go toward the servicing of short-term facilities coming due in 2013. It also aims to refinance other debt obligations with the monies.

  • [By Fede Zaldua]

According Citigroup's analysts its about time to start accumulating Mechel's (MTL) shares. The reason for the sharp upgrade (from sell to buy) was Mechel's recent deal with some of its creditors to ease part of the company's huge debt burden. More specifically, the Russian metals and mining company managed to seal a deal with the state controlled VTB Group through which it managed to get covenant holidays and a debt restructuring. That said, I don think Mechel is out from the woods and I do not think its time to buy the company's shares, even when the are down by 67% year-to-date (ytd).

Canaccord Boosts Urban Outfitters To Buy; Sees 25%+ Upside

Although Urban Outfitters (URBN) gave up some of its earlier gains, Canaccord Genuity thinks the stock can ultimately rise more than 25%.

Analyst Laura Champine upgraded the stock to Buy from Hold, with a $48 price target. She writes that the market, which has sent the stock down 11% in the past two weeks, has been overacting to the company's announcement earlier this month that sales were trending mid-single-digit positive so far in the quarter. She sees the sales as indicative of "sustained market share gains given the challenging apparel environment."

"E-commerce penetration of around one-quarter of total sales makes URBN the strongest public specialty apparel retailer online. We expect this channel to sustain rapid growth as management aspirations are at 50% penetration," she writes. "Unit growth is above average. We project the store base growing at a five-year CAGR of 7% versus the average retailer we cover at +5%."

Top Consumer Stocks For 2015

Also part of her thesis: The fact that Urban is growing its consolidated store base at a compounded annual rate of 7% over the next five years, ahead of the average 5% for the other retailers in her coverage universe. Champine notes that the Anthropologie brand is in the midst of a turnaround as well, with same-store sales growing 9% in the second quarter.

Advisors' Opinion:

JA Solar Holdings Co. Ltd. (NASDAQ: JASO) stands to benefit from the increased demand for solar power from China. That country is set to overtake Europe, the U.S., and Japan as the world largest consumer of solar panels and modules. That good for the Chinese solar makers, but it will be difficult for U.S. analysts and investors to figure out exactly what happening with the individual companies due to the lack of real transparency into their operations.

The company was founded in 1978 and is based in Louisville, Colorado.

Advisors' Opinion:
  • [By Bryan Murphy]

Three weeks ago, I recommended Real Goods Solar, Inc. (NASDAQ:RSOL) as a buy. Though the stock was still drifting in the shadow of a huge May pullback - from a high of $7.17 to a low of $2.13 by mid-June - RSOL was finding some support at key moving average lines, and even pushing up and off of them. Not many of you (and I'm using "you" interchangeably with "investors in general") seemed to care. So why am I looking at Real Goods Solar again now? Because, with competitors LDK Solar Co., Ltd (NYSE:LDK) and ReneSola Ltd. (NYSE:SOL) seeing their shares surge today, odds are good RSOL is going to get swept up in that move. Real Goods Solar shares are a better bet, however, in that - unlike SOL and LDK - they aren't overbought yet.

  • [By Bryan Murphy]

There's no denying that LDK Solar Co., Ltd (NYSE:LDK) has been a notable laggard this year compared to performances from First Solar, Inc. (NASDAQ:FSLR) and Real Goods Solar, Inc. (NASDAQ:RSOL). RSOL is up nearly 180% year-to-date, with a decent chunk of that gain unfurling in just the last couple of months. FSLR is up 25% for the year so far, though that more modest gain would have been much bigger had it not been for February's 24% plunge. Meanwhile, LDK shares are down 22% year-to-date, and have barely even blipped despite the fact that solar energy has become all the rage again in recent months.

  • [By Bryan Murphy]

Last Thursday when I suggested American Community (OTCMKTS:ACYD) was a stock that should be shed immediately, and replaced with a position in Real Goods Solar, Inc. (NASDAQ:RSOL), I didn't win a lot of friends. After all, ACYD was the market's newest darling, in the middle of a red-hot runup, while RSOL was "just another solar name" that happened to be lucky enough to stumble its way above a key support line. Well, I hate to be the one to day I told you so, but, I told you so. American Community shares are down 35% since then, while Real Goods Solar shares are up 36% in the meantime. Both stocks seem pretty well entrenched in their current trends too.

  • [By John Udovich]

Small cap solar stock Andalay Solar Inc (OTCMKTS: WEST) has largely cratered for investorsverses solar stock peers Real Goods Solar, Inc (NASDAQ: RSOL) and SolarCity Corp (NASDAQ: SCTY), but is the company finally turning itself around after a failed deal to be acquired?

One under-$10 name that's starting to move within range of triggering a big breakout trade is ReneSola (SOL), a manufacturer of solar wafers and producer of solar power products based in China. This stock has been on fire so far in 2013, with shares up sharply by 183%.

If you take a look at the chart for ReneSola, you'll notice that this stock has been uptrending very strong for the last four months and change, with shares soaring higher from its low of $1.25 to its recent high of $4.85 a share. During that uptrend, shares of SOL have been consistently making higher lows and higher highs, which is bullish technical price action. Shares of SOL have pulled back a bit during the last few weeks, with the stock coming off that high of $4.85 to its recent low of $3.52 a share. This stock has now started to bounce off that $3.52 low and it's quickly moving within range of triggering a big breakout trade.

Traders should now look for long-biased trades in SOL if it manages to break out above some near-term overhead resistance levels at $4.25 to $4.50 a share and then once it clears its 52-week high at $4.85 a share with high volume. Look for a sustained move or close above those levels with volume that hits near or above its three-month average action of 2.09 million shares. If that breakout triggers soon, then SOL will set up to enter new 52-week-high territory, which is bullish technical price action. Some possible upside targets off that breakout are $7 to $8 a share.

Traders can look to buy SOL off any weakness to anticipate that breakout and simply use a stop that sits right below its 50-day moving average of $3.31 a share. One can also buy SOL off strength once it takes out those breakout levels with volume and then simply use a stop that sits a comfortable percentage from your entry point.

There will be winners, though. Shares of polysilicon maker Renewable Energy fell 7% in trading immediately after the announcement because the company will likely see either lower prices or lower demand. But shares of GCL Poly, who manufactures in China and is the biggest polysilicon maker in the world, jumped 4% on Friday after the news was announced.Renesola (NYSE: SOL  ) and LDK Solar (NYSE: LDK  ) also have lots of unused polysilicon capacity that will likely experience more demand because of the move. The question is if they have sufficient quality to supply the industry.

On Thursday, ReneSola (NYSE: SOL  ) will release its latest quarterly results. The key to making smart investment decisions on stocks reporting earnings is to anticipate how they'll do before they announce results, leaving you fully prepared to respond quickly to whatever inevitable surprises arise. That way, you'll be less likely to make an uninformed knee-jerk reaction to news that turns out to be exactly the wrong move.

    Source: Company earnings releases.

Solar companies have reported losses for some time now, but LDK Solar has more debt than most companies, and won't be able to survive with such feeble numbers. At the end of 2012, debt stood at $2.8 billion, and we know now that the company ran out of cash just this week. There's no way LDK Solar can survive on just $135.9 million in quarterly revenue and that kind of debt level. A problem across solar High debt loads and feeble margins aren't a challenge faced by LDK Solar alone. Suntech Power gave in to these pressures last month, defaulting on its own debt. Yingli Green Energy (NYSE: YGE  ) is now the most indebted Chinese solar company, with $2.5 billion in debt, and I wouldn't doubt if they're not far behind LDK and Suntech. The defaults of Suntech and LDK has to be concerning for all of Chinese solar, especially if banks don't keep the free flow of funds that have powered a rapid expansion in production. Balance sheets matter
What's becoming clearer and clearer every quarter is that balance sheets matter, not just for investors, but also for solar installers. Solar modules come with warranties, sometimes stretching as long as 25 years, and if a customer questions whether a company will be around in only a year or two, they may choose another option. Since Chinese modules vary very little from a performance perspective, the customer may choose a better-capitalized company like JinkoSolar instead of Yingli or LDK, or even move to a U.S. company like First Solar (NASDAQ: FSLR  ) or SunPower (NASDAQ: SPWR  ) . As financial conditions get worse at these companies more and more customers leave and the problems get worse, creating a downward spiral. LDK and Suntech are the poster children for this and are a major reason investors need to stick with quality in solar. I've been down on LDK Solar since I began predicting its failure in 2011. On the heels of a better-than-expected release from Peabody Energy (NYSE: BTU  ) and expectations from Caterpillar (NYSE: CAT  ) that coal prices could rise somewhat in 2013, both businesses might be set to succeed in tandem. The price of natural gas has been climbing rapidly to start 2013, which should help coal regain some traction. And its East Coast export facility continues to provide access to the demanding European market. In the following video, Taylor Muckerman expects some positive news on Thursday and thinks you should, too.
